Common use of Designation of Different Lending Office Clause in Contracts

Designation of Different Lending Office. If any Lender requests Additional Compensation under Section 10.2, or the Borrower is required to pay any additional amount to the Agent on behalf of any Lender pursuant to Section 6.3(a), or if any Lender gives a notice pursuant to Section 10.3, then such Lender shall use reasonable efforts to designate a different lending office for funding or booking the Borrowings hereunder or to assign its rights and obligations hereunder to another of its offices, branches or Affiliates, if, in the reasonable judgment of such Lender, such designation or assignment (i) would eliminate or reduce amounts payable pursuant to Section 10.2 or 6.3(a), as the case may be, in the future, or eliminate the need for the notice pursuant to Section 10.3, as applicable, and (ii) in each case, would not subject such Lender to any unreimbursed cost or expense and would not otherwise be disadvantageous in any material respect to such Lender. The Borrower hereby agrees to pay all reasonable and documented out-of-pocket costs and expenses incurred by any Lender in connection with any such designation or assignment.

If any Lender requests Additional Compensation compensation under Section 10.23.04, or the Borrower is required to pay any additional amount to any Lender or any Governmental Authority for the Agent on behalf account of any Lender pursuant to Section 6.3(a)3.01, or if any Lender gives a notice pursuant to Section 10.33.02, then such Lender shall use reasonable efforts to designate a different lending office Lending Office for funding or booking the Borrowings its Loans hereunder or to assign its rights and obligations hereunder to another of its offices, branches or Affiliatesaffiliates, if, in the reasonable judgment of such Lender, such designation or assignment (i) would eliminate or reduce amounts payable pursuant to Section 10.2 3.01 or 6.3(a)3.04, as the case may be, in the future, or eliminate the need for the notice pursuant to Section 10.33.02, as applicable, and (ii) in each case, would not subject such Lender to any unreimbursed cost or expense and would not otherwise be disadvantageous in any material respect to such Lender. The Borrower hereby agrees to pay all reasonable and documented out-of-pocket costs and expenses incurred by any Lender in connection with any such designation or assignment.

If any Lender requests Additional Compensation compensation under Section 10.25.01, or if the Borrower is required to pay any additional amount to any Lender or any Governmental Authority for the Agent on behalf account of any Lender pursuant to Section 6.3(a)5.03, or if any Lender gives a notice pursuant to Section 10.35.05, then such Lender shall use reasonable efforts to designate a different lending office for funding or booking the Borrowings its Loans hereunder or to assign its rights and obligations hereunder to another of its offices, branches or Affiliatesaffiliates, if, in the reasonable judgment of such Lender, such designation or assignment (i) would (A) eliminate or reduce amounts payable pursuant to Section 10.2 5.01 or 6.3(a)Section 5.03, as the case may be, in the future, future or (B) eliminate the need for the notice pursuant to Section 10.3, as applicable5.05, and (ii) in each case, would not subject such Lender to any unreimbursed cost or expense and would not otherwise be disadvantageous in any material respect to such Lender. The Borrower hereby agrees to pay all reasonable and documented out-of-pocket costs and expenses incurred by any Lender in connection with any such designation or assignment.
