Common use of Designation of Senior Person in Charge Clause in Contracts

Designation of Senior Person in Charge. The Board shall, as soon as possible after the Execution Date, appoint a Senior Person in Charge of the Company, as determined by a Vote of the Board. The Senior Person in Charge shall possess and exercise such authority and powers and perform such duties as may be determined by the President. The Senior Person in Charge shall: (i) be subject to oversight and direction by the President; (ii) carry out his/her responsibilities designated by the President; and (iii) be compensated by the Company in accordance with the Approved Operating Plan.
