Common use of Designation of Underwriter Clause in Contracts

Designation of Underwriter. 2.5.1. In the case of any registration effected pursuant to Section 2.1 or 2.3, a majority of the Initiating Holders that submitted requests for registration shall have the right to designate the managing underwriter(s) in any underwritten offering which shall be a prominent and reputable underwriter, subject to the consent of the Company, which consent shall not unreasonably withheld. 2.5.2. In the case of any registration initiated by the Company, the Company shall have the right to designate the managing underwriter in any underwritten offering.

(a) In the case of any registration effected pursuant to Section 2.1 4.3 or 2.34.4, a majority of the Initiating Holders that submitted requests the request for registration shall have the right to designate the managing underwriter(s) in any underwritten offering which shall be a prominent and reputable underwriteroffering, subject to the consent of the Company’s approval, which consent shall not be unreasonably withheld. 2.5.2. (a) In the case of any underwritten registration effected pursuant to Section 2.1 or 2.31.3, a majority in interest of the Initiating Holders of the Registrable Shares (calculated on an as converted basis) that submitted requests the request for registration shall have the right to designate the managing underwriter(s) in any underwritten offering which shall be a prominent and reputable underwriter, subject appoint an underwriter reasonably acceptable to the consent of the Company, which consent shall not unreasonably withheld. 2.5.2. (b) In the case of any registration initiated by the Company, the Company shall have the right to designate the managing underwriter in any underwritten offering.

(b) In the case of any registration initiated by the Company, the Company shall have the right to designate the managing underwriter in any underwritten offering.

In the case of any registration effected pursuant to Section 2.1 or 2.32.2, a majority of the Initiating Holders that submitted requests the request for registration shall have the right to designate the managing underwriter(s) in any underwritten offering offering, which managing underwriter(s) shall be a prominent and reputable underwriter, subject reasonably acceptable to the consent of the Company, which consent shall not unreasonably withheld. 2.5.22.3.2. In For the avoidance of doubt, in the case of any registration initiated by the Company, the Company shall have the right to designate the managing underwriter in any underwritten offeringunderwriter(s), which managing underwriter(s) shall be reasonably acceptable to the Initiating Holders.
