Common use of Determination by Corporation’s Auditors Clause in Contracts

Determination by Corporation’s Auditors. In the event of any question arising with respect to the adjustments provided for in this Article 7, such question shall, absent manifest error, be conclusively determined by the Corporation’s auditors, who shall have access to all necessary records of the Corporation, and such determination shall, absent manifest error, be binding upon the Corporation, the Agents, the Subscription Receipt Agent, all Subscription Receiptholders and all other Persons interested therein.
