Common use of Determination by Independent Firm Clause in Contracts

Determination by Independent Firm. In the event of any question arising with respect to the adjustments provided for in this Article 4 such question shall be conclusively determined by an independent firm of chartered accountants other than the Auditors, who shall have access to all necessary records of the Corporation, and such determination shall be binding upon the Corporation, the Warrant Agent, all holders and all other persons interested therein.

Determination by Independent Firm. In the event of any question arising with respect to the adjustments provided for in this Article 4 Article4 such question shall be conclusively determined by an independent firm of chartered accountants other than the Auditors, who shall have access to all necessary records of the Corporation, and such determination shall be binding upon the Corporation, the Warrant Agent, all holders and all other persons interested therein.

In the event of any question arising with respect to the adjustments provided for in this Article 4 such question shall be conclusively determined by an the Auditor or if they are unable or unwilling to act, by such other independent firm of chartered professional accountants other than as may be selected by the AuditorsBoard of Directors, who shall have access to all necessary records of the Corporationacting reasonably and in good faith, and such determination shall be binding upon the Corporation, the Warrant AgentTrustee, all holders and all other persons interested therein. The Corporation shall provide such auditors or accountants with access to all necessary records of the Corporation.

Determination by Independent Firm. In the event of any question arising with respect to the adjustments provided for in this Article 4 such question shall be conclusively determined by an independent firm of chartered accountants other than the Auditors, who shall have access to all necessary records of the Corporation, and such determination determination, absent manifest error, shall be binding upon the Corporation, the Warrant Agent, all holders and all other persons interested therein.

In the event of any question arising with respect to the adjustments provided for in this Article 4 Section 4.1(2)(e) such question shall be conclusively determined by an independent firm of chartered accountants other than the Auditors, who shall have access to all necessary records of the Corporation, and the fees and expenses of which shall be borne by the Corporation, and such determination shall be binding upon the Corporation, the Warrant Agent, all holders and all other persons interested therein.

Determination by Independent Firm. In the event of any question arising with respect to the adjustments provided for in this Article 4 such question shall be conclusively determined by an independent such firm of chartered independent professional accountants other than as may be selected by the AuditorsCorporation, who shall have access to all necessary records of the Corporation, and such determination shall be binding upon the Corporation, the Warrant Agent, all holders Registered Warrantholders and all other persons interested therein.

Determination by Independent Firm. In the event of any question arising with respect to the adjustments provided for in this Article 4 such question shall be conclusively determined by an independent firm of chartered accountants other than the Auditors, who shall have access to all necessary records of the Corporation, and such determination shall be binding upon the Corporation, the Warrant AgentDebenture Trustee, all holders and all other persons interested therein.
