Determination by Mutual Agreement. The fair market value of the WM Partner Equity Interest for purposes of paragraph (a) above shall be determined by mutual agreement of WM Partner and the Partnership. In determining such value, the fair market value of the Partnership as an entity will be determined, with the value of the WM Partner Equity Interest established by multiplying the fair market value of the Partnership as an entity by the WM Partner’s percentage of the total equity interests in the Partnership.
