Common use of Determination of Annual Cash OPEB Reimbursement Clause in Contracts

Determination of Annual Cash OPEB Reimbursement. For the portion of 2000 that follows the Start Date and for each calendar year thereafter until the OPEB liability for the Ford Assigned Employees is extinguished, the Annual Cash OPEB Reimbursement to the Plans for any given year shall be an amount equal to the sum of (A) and (B) where (A) is the estimated amount of OPEB claims paid during the period to the Ford Assigned Employees who retire after the Start Date, together with their spouses or dependents, determined on the basis of average per contract claims costs for Ford-UAW retirees; and (B) is an allocable share of administration expenses based on the ratio of OPEB liability for Ford Assigned Employees to total Ford-UAW OPEB liability, unless Ford and Visteon agree to another method. The Annual Cash OPEB Reimbursement shall be determined by the Ford Actuary; the Visteon Actuary will have the opportunity to verify the calculation.

For the portion of 2000 that follows the Start Benefit Transition Date and for each calendar year thereafter until the OPEB liability for the Ford Assigned Group I and Group II Employees is extinguished, the Annual Cash annual cash OPEB Reimbursement reimbursement to the Plans for any given year shall be an amount equal to the sum of (Ai) and (Bii) where (Ai) is the estimated amount of OPEB claims paid during the period to the Ford Assigned Group I and Group II Employees who retire after the Start Benefit Transition Date, together with their spouses or dependents, determined on the basis of average per contract claims costs for Ford-UAW Ford salaried retirees; and (Bii) is an allocable share of administration expenses based on the ratio of OPEB liability Liability for Ford Assigned Group I and II Employees to the total Ford-UAW Ford salaried OPEB liability, liability unless Ford and Visteon agree to another method. The Annual Cash OPEB Reimbursement shall be determined by the Ford Actuary; the Visteon Actuary will have the opportunity to verify the calculation.
