Determination of Fair Market Value for Milestones. “Fair Market Value” as used in this Agreement with respect to the payments to Intrexon made under Sections 1.3(a) through 1.3(c) means the value of the issued shares of Company’s Common Stock using published market data of the share price for Company’s Common Stock at the close of market on the business day immediately preceding the date of public announcement of attainment of the Milestone Event in question.
