The Company and the Investor acknowledge that the purchase price for the Investor’s Common Stock under this Agreement is fair and reasonable and has been determined by negotiation, with each of the Parties considering, among other factors, the following: (a) the need for capital for growth; and (b) the existence of the current global credit crisis that has had a negative impact on the Company’s ability to obtain financing.
