Determination of Resolution Panel. Not later than thirty (30) days after the commencement of good-faith negotiations: (i) if the Steering Committee renders an agreed resolution on the matter in dispute, then both parties hereto shall be bound thereby; and (ii) if the Steering Committee does not render an agreed resolution, then either party may submit the dispute to arbitration in accordance with Section 9.5 hereof.
