Determinations Under Section 4.02. For purposes of determining compliance with the conditions specified in Sections 4.01 and 4.02 and the definitions of “Spinoff Date” and “Successor JCI Credit Agreement Effectiveness Date,” each Lender shall be deemed to have consented to, approved or accepted or to be satisfied with each document or other matter required thereunder to be consented to or approved by or acceptable or satisfactory to the Administrative Agent or the Lenders unless an officer of the Administrative Agent responsible for the transactions contemplated by this Agreement shall have received written notice from such Lender prior to the Signing Date, the Closing Date, the Spinoff Date and the Successor JCI Credit Agreement Effectiveness Date, respectively, specifying its objection thereto in reasonable detail. The Administrative Agent shall promptly notify the Lenders and the Borrower Representative in writing of the occurrence of the Signing Date, the Closing Date, the Spinoff Date and the Successor JCI Credit Agreement Effectiveness Date, respectively, and each such notification shall be conclusive and binding.
