Developer Costs. The Existing Developer and the New Developer must pay their own costs in relation to:
(a) the negotiation, preparation, execution, performance, amendment or registration of, or any consent given or made; and
(b) the performance of any action by that party in compliance with any liability arising, under this Deed, or any agreement or document executed or effected under this Deed, unless this Deed provides otherwise.

Developer Costs. The Borrower shall have furnished to the Credit Enhancer, the Remarketing Agent and the Trustee a certificate (the "Equity Costs Certificate") in form and substance satisfactory to the Credit Enhancer and the Remarketing Agent identifying not less than $2,699,963.69 of eligible Project costs and costs of issuance and remarketing incurred and paid by or on behalf of the Borrower prior to the Remarketing Date.

Developer Costs. Developer shall be responsible for the costs of design and construction of all improvements constructed in contemplation and reliance on, and in accordance with, the Building site and operation (BSO) plans and Development Plans and specifications, the project plan of TID #5 concerning the Property, and this Development Agreement, including all expenses and costs associated with administration and construction of public improvements serving the area around and within the Development. Attached as “Exhibit D” is a summary of certain eligible project expenses that were reviewed by the City in support of the TIF Grant prior to execution of this Development Agreement.
