Developer Opinions. Developer shall have provided to the Authority legal opinions, addressed to the Authority, from external legal, or in respect of the opinion contemplated in Section 2.4.6.4 below, internal, counsel as to: 2.4.6.1 organization and existence of Developer and Borrower; 2.4.6.2 due authorization and execution of the Project Documents; 2.4.6.3 enforceability of, no violation of law or Developer's or Borrower’s organizational documents, as the case may be, with respect to, each Project Document and Key Contract that Developer or Borrower are parties to; and 2.4.6.4 the absence of material litigation, in each case in form and substance reasonably satisfactory to the Authority.
