Common use of Developer's agreement to indemnify Clause in Contracts

Developer's agreement to indemnify. The Developer agrees on behalf of itself, its successors and assigns to save harmless and indemnify the Town and its officials, employees and agents, from all losses, damages, costs, charges and expenses which may be claimed or recovered against the Town, or its officials, employees and agents, as the case may be, by any person or persons arising either directly or indirectly as a result of any action taken by the Developer pursuant to or implementing the terms of this Agreement.
