Developer’s Tools Sample Clauses
The "Developer’s Tools" clause defines the rights and restrictions regarding the software, utilities, or resources that a developer uses to create, test, or maintain a product but does not deliver to the client. Typically, this clause clarifies that such tools remain the property of the developer and are not included in the deliverables, even if they are used in the development process. For example, proprietary frameworks, code libraries, or internal scripts used to build the final product would not be transferred to the client. The core function of this clause is to protect the developer’s intellectual property and prevent unintended transfer of valuable or proprietary development assets.
