Direct Agreements. Upon expiration or termination of this Contract for any reason, DCYF and/or the State will have the right to enter into direct contracts with any of the Subcontractors. Contractor agrees that its arrangements with Subcontractors will not prohibit or restrict such Subcontractors from entering into direct contracts with DCYF.
Direct Agreements. 6.1 Subject to paragraph 6.2, the counterparty to any contract which will, as at the Start Date, be a Key Contract (including any such contract to which the Franchisee is required under this Agreement to be a party or have vested in it as at the Start Date), has entered into a Direct Agreement with the Secretary of State in respect of such Key Contract on terms acceptable to the Secretary of State.
6.2 No Direct Agreement need be entered into by the counterparty to any Key Contract referred to in paragraph 6.1 where:
(a) such counterparty is a Train Operator; and
(b) such Train Operator is the provider of the services under such Key Contract which the Secretary of State considers are reasonably necessary for securing the continued provision by a Successor Operator of the Franchise Services or services similar to the Franchise Services.
Direct Agreements i. With respect to each Project Participant for which a Direct Agreement is specified on Schedule 4.1 to the Common Agreement, a Direct Agreement among such Project Participant, the Project Company and the Collateral Agent and any other agreement consenting to the assignment to the Secured Parties of the Project Company’s interest in any Project Document.
Direct Agreements. Upon expiration or termination of the Term for any reason, Symetra shall have the right to enter into direct agreements with any Subcontractors. ACS represents, warrants, and covenants to Symetra that its arrangements with such Subcontractors shall not prohibit or restrict such Subcontractors from entering into direct agreements with Symetra.
Direct Agreements. 13.4.1. Transnet shall at anytime have the right to enter into direct agreements with any Subcontractors for services.
13.4.2. The Service Provider warrants and undertakes to Transnet that its arrangements with the Subcontractors do not, and for the duration of this Agreement shall not, prohibit or restrict such Subcontractors from entering into direct agreements with Transnet for services. The Service Provider further agrees not to include any form of restraint (of any nature whatsoever) on any Subcontractor (including any Employee of a Subcontractor) precluding such Subcontractor (or Employee of such Subcontractors) from providing any services directly to Transnet either during the term of this Agreement or after the expiry or termination hereof and any form of restraint included in any such subcontract will be null and void and Service Provider shall be required to uplift same upon written demand of either Transnet or such Subcontractor. Each Party hereby provides consent to the other Party to disclose the content of this clause 13 to any Subcontractors or potential subcontractors.
Direct Agreements. Solely with respect to the Sapphire RNG Project, copies of a Direct Agreement with respect to each Material Project Document listed on Schedule 4.2(b) (or if any such Direct Agreements are not available, evidence that the Borrower has used commercially reasonable efforts to obtain such Direct Agreement);
Direct Agreements. Delivery to Administrative Agent of executed Direct Agreements from each of the Major Project Participants whose Project Documents are in effect on the Closing Date, which Direct Agreements shall be reasonably satisfactory to Administrative Agent.

The Company shall have delivered to each of the Purchasers executed Direct Agreements from the Sponsor with respect to each of the MESPA, the MOMA and the Administrative Services Agreement, which Direct Agreements shall be in substantially the form of Exhibit 4.1.30 or otherwise reasonably satisfactory to the Purchasers.
Direct Agreements. You acknowledge that if you process greater than or equal to the equivalent of $1,000,000 USD in Mastercard or Visa transactions annually, we may require you to enter into a direct contractual relationship with a Payment Method Acquirer and us. Should you fail to enter into such direct contractual relationship within a reasonable time, we will have the right to either (i) suspend or terminate your Merchant Account; or (ii) refuse to process payments in excess of $1,000,000 USD (or equivalent) in Mastercard transactions annually.
