Any certificate signed by any officer of the Company or the Trust and delivered to the Representatives or to counsel for the Underwriters pursuant to this Agreement shall be deemed a representation and warranty by the Company or the Trust, as applicable, to each Underwriter as to the matters covered thereby.

None of the Abraxas Parties has offered, or caused the Underwriters to offer, Units to any person pursuant to the Directed Unit Program with the specific intent to unlawfully influence (i) a customer or supplier of the Abraxas Parties to alter the customer's or supplier's level or type of business with the Abraxas Parties, or (ii) a trade journalist or publication to write or publish favorable information about the Abraxas Parties or their operations.

None of the Partnership Entities has offered, or caused the Underwriters to offer, Units to any person pursuant to the Directed Unit Program with the specific intent to unlawfully influence (i) a customer or supplier of the Partnership Entities to alter the customer's or supplier's level or type of business with the Partnership Entities, or (ii) a trade journalist or publication to write or publish favorable information about the Partnership Entities or their products or services.

All sales of the Directed Units will comply with the rules of the Financial Industry Regulatory Authority (the “FINRA”, formerly known as the National Association of Securities Dealers, Inc., or the “NASD”), including NASD Conduct Rule 2790 (which is part of the FINRA rules). None of the Quest Parties has offered, or caused the Underwriters to offer, Units to any person pursuant to the Directed Unit Program with the specific intent to unlawfully influence (i) a customer or supplier of the Quest Parties to alter the customer’s or supplier’s level or type of business with the Quest Parties, or (ii) a trade journalist or publication to write or publish favorable information about the Quest Parties or their operations.

The DCP Parties have not offered, or caused the Underwriters to offer, Units to any person pursuant to the Directed Unit Program with the specific intent to unlawfully influence (i) a customer or supplier of the DCP Parties, to alter the customer’s or supplier’s level or type of business with the DCP Parties, or (ii) a trade journalist or publication to write or publish favorable information about the DCP Parties or their operations.
