Director Acknowledgment. Director acknowledges Director has had the opportunity to consult legal counsel concerning this Agreement, that Director has read and understands the Agreement, that Director is fully aware of its legal effect, and that Director has entered into it freely based on his own judgment and not on any representations or promises other than those contained in this Agreement.
Director Acknowledgment. As an inducement to the Company to issue the Director Securities to Director, and as a condition thereto, Director acknowledges and agrees that neither the issuance of the Director Securities to Director nor any provision contained in this Agreement shall entitle Director to remain a director of the Company or its Subsidiaries or affect the right of the Company or its Subsidiaries to terminate Director’s service to the Company at any time for any reason.
Director Acknowledgment. Director Acknowledgment. The Director hereby acknowledges (i) receipt of a copy of the Plan, (ii) that all decisions, determinations and interpretations of the Administrator in respect of the Plan, this Agreement and the Award shall be final and conclusive and (iii) that any shares of Common Stock acquired pursuant to the Award are being acquired for the Employee’s own account and not with a view to distribution.
Director Acknowledgment. Director acknowledges Director has had the opportunity to consult legal counsel concerning this Agreement, that Director has read and understands the Agreement, that Director is fully aware of its legal effect, and that Director has entered into it freely based on his own judgment and not on any representations or promises other than those contained in this Agreement. Director acknowledges that Director has not relied and will not rely upon the Company or the Company’s legal counsel with respect to any tax consequences related to the terms and conditions of this Agreement. Director assumes full responsibility for all such consequences and for the preparation and filing of all tax returns and elections which may or must be filed in connection with this Agreement.

By accepting this grant, the Director acknowledges receipt of a copy of the Plan, and acknowledges that all decisions, determinations and interpretations of the Committee in respect of the Plan, this Agreement and the Option shall be final and conclusive.
