The name, business address, position with the Purchaser, present principal occupation or employment and five-year employment history of each of the directors and executive officers of the Purchaser, together with the names, principal businesses and addresses of any corporations or other organizations in which such principal occupations are conducted, are set forth below. Unless otherwise indicated, each occupation set forth refers to the Purchaser, each individual is a United States citizen and each individual's business address is 81 Wyman Street, Waltham, Maxxxxxxxxxxx 00000. Unless otherwise indicated, to the knowledge of the Purchaser and Thermo Electron, no director or executive officer of the Purchaser beneficially owns any Shares (or rights to acquire Shares). Unless otherwise indicated, to the knowledge of the Purchaser and Thermo Electron, no director or executive officer of the Purchaser has been convicted in a criminal proceeding during the last five years (excluding traffic violations or similar misdemeanors) and no director or executive officer of the Purchaser was a party to any judicial or administrative proceeding during the last five years (except for any matters that were dismissed without sanction or settlement) that resulted in a judgment, decree or final order enjoining the person from future violations of, or prohibiting activities subject to, federal or state securities laws, or a finding of any violation of federal or state securities laws.
