DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the directors or major shareholders of the Company or persons connected with them have any interest, whether direct or indirect, in the Lease Agreement.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the Directors and/or major shareholders and/or persons connected with a Director or major shareholders of the Company has any interest, direct or indirect in the DRA and the JVA.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the directors and/or major shareholders of OCR and/or persons connected with them have any interest, direct or indirect, in the Joint Venture.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. In so far as the Board is able to ascertain, none of the directors and major shareholders of ECB or persons connected to them have any interest, direct or indirect, in the Shareholders’ Agreement save and except for Dato’ Xxxxxx A/L Elumalay who is deemed to have an interest via ECB as well as Dato’ Nathan’s son, Mr. Narishnath A/L Xxxxxx, who is also a shareholder and Director of ECB.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. Save as disclosed below, none of the Directors and Major Shareholders of MBMR or persons connected to them has any interest, direct or indirect, in the Proposed Acquisition:
(i) CMW and TTC have direct interests in the Proposed Acquisition because:
(a) both of them are the Vendors of the Sale Shares;
(b) CMW holds 19% of the equity interest in OMI. Hence, it is a major shareholder of OMI;
(c) TTC holds 3% and 18.1% of the equity interests in OMI and CMW respectively; and
(d) CMW and TTC are the subsidiary and associate company of TMC respectively.
(ii) Nevertheless, the Proposed Acquisition is not regarded as a related party transaction (“RPT”) as it is an exempted RPT under Paragraph 10.08(11)(o) of the MMLR.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the Directors and/or major shareholders of KPJ and/or persons connected with them have any direct or indirect interest in the Proposal.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the Directors and/or major shareholders and persons connected with the Directors and/or major shareholders of the Company have any direct or indirect interest in the SHA.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the directors, major shareholders and persons connected with directors or major shareholders of the Company or any of its subsidiaries have any interest, direct or indirect in the Proposed MOU or Proposed Collaboration.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the Directors, and/or major shareholders of Turbo, and/or persons connected with them, has any interest, direct or indirect, in the Proposed JV.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST. None of the Directors and/or major shareholders of the Company and/or persons connected to them, has any interest, direct or indirect in this Agreement
