Common use of Directors and Officers of the Surviving Entity Clause in Contracts

Directors and Officers of the Surviving Entity. The officers of Merger Sub immediately prior to the Effective Time shall be the directors and officers of the Surviving Entity from and after the Effective Time, until their successors shall be elected and qualified or appointed, as the case may be, or their earlier death, retirement, resignation or removal.
