Common use of Directors and Officers Policy Clause in Contracts

Directors and Officers Policy. The Corporation shall ensure that its Directors’, Officers’, Insured Entity and Employment Practices Liability Insurance policy (“D&O Policy”) shall cover Executive as an Insured Person, as such term is defined in the D&O Policy. Such D&O Policy is currently in effect and the Corporation knows of no reason why such policy would be terminated or allowed to lapse. If so, the Corporation shall immediately notify Executive of such policy termination.

Upon Employee’s written request therefor, Employee will be provided with an annual certificate of insurance, demonstrating this coverage.
