Director’s Authorization. The Director may authorize the Consultant to perform Additional Services up to the cumulative, maximum amount set forth in Exhibit B for such services. The Director must authorize the Consultant to perform Additional Services through a written amendment executed by both parties. The written amendment must set forth the scope of the Additional Services, the schedule for completing such services, and the amount and method of compensating the Consultant for such services. The Director is authorized to execute the amendment for Additional Services for the City.
Director’s Authorization. Participant has the full right, power and authority to purchase, acquire and pay the purchase price for the Participation from Lender without notice to or consent of anyone and has taken all corporate action necessary to authorize it to enter into and execute this Agreement.

The written amendment must set forth the scope of the Additional Services, the schedule for completing such services, and the amount and method of compensating Calpine for such services. The Director is authorized to execute the amendment for Additional Services for the City.

The Director must authorize the SCCOE to perform Additional Services through a written amendment executed by both parties. The written amendment must set forth the scope of the Additional Services, the schedule for completing such services, and the amount OC-001287-000 and method of compensating the SCCOE for such services. The Director is authorized to execute the amendment for Additional Services for the City.

The ESD Director must authorize the Consultant to perform Additional Services through a written notice to proceed executed by both parties. The written notice to proceed must set forth the scope of the Additional Services, the schedule for completing such services, and the amount and method of compensating the Consultant for such services. The ESD Director is authorized to execute the notice to proceed for Additional Services for the City.
Director’s Authorization. This Agreement has been duly authorized by Buyer's Board of Directors. This Agreement will not violate, with or without the giving of notice and/or the passage of time, the Articles of Incorporation or the Bylaws of Buyer, any mortgage, contract or other agreement or instrument to which Buyer may be a party, and will be valid, binding and enforceable against Buyer in accordance with its terms.
