Common use of Directors of the Parent Clause in Contracts

Directors of the Parent. The directors of Parent immediately prior to the Effective Time shall appoint Xxxxxxx Xxxxx, Xxxx Xxxxxxxxxx and Xxxxxxx Xxxxxxxx to Parent’s board of directors, and thereafter resign effective as of the Effective Time, and the officers of the Surviving Corporation shall be appointed by the new directors, who shall be Xxxxxxx Xxxxx, CEO and Secretary; and Xxxx Xxxxxxxxxx, CFO.

Directors of the Parent. The directors of Parent immediately prior to the Effective Time shall appoint Xx Xxxxxxxxx, Xxxxx Xxxxxxx Xxxxx, and Xxxx Xxxxxxxxxx and Xxxxxxx Xxxxxxxx to Parent’s board Board of directorsDirectors, and thereafter resign thereafter, the current directors of Parent shall resign, in seriatim, effective as of the Effective Time, and the officers of the Surviving Corporation shall be appointed as officers of Parent by the present or new directors, who shall be Xxxxxxx XxxxxXxxxx Xxxxxxx, CEO and SecretaryPresident; and Xxxx XxxxxxxxxxXxxxx Xxxxxxx, CFOSecretary/Treasurer.

Directors of the Parent. The directors of Parent immediately prior to the Effective Time shall appoint Xxxxxx Xxxxxxx Xxxxx, Xxxx Xxxxxxxxxx and Xxx Xxxxxxx Xxxxxxxx to Parent’s board Board of directorsDirectors, and thereafter resign thereafter, the current directors of Parent shall resign, in seriatim, effective as of the Effective Time, and the following officers of the Surviving Corporation shall be appointed as officers of Parent by the present or new directorsdirectors of Parent: E. Will Gray II, who shall be as Chief Executive Officer; and Xxxxxx Xxxxxxx Xxxxx, CEO and Esq. as Secretary; and Xxxx Xxxxxxxxxx, CFO.

Directors of the Parent. The Effective as of the Effective Time, Xxxx Xxxxxx, Xxxxxx Xxxxxxxxx, Xxxxxx Mall, Xxxxx Xxxxxx, Xxxx Xxxxxxxxx, and Xxxx Xxxx shall be appointed to serve as directors of Parent (the “New Directors”), and the director or directors of Parent immediately prior to the Effective Time shall appoint Xxxxxxx Xxxxx, Xxxx Xxxxxxxxxx and Xxxxxxx Xxxxxxxx to Parent’s board of directors, and thereafter resign effective as of the Effective Time, and the unless otherwise provided herein. The officers of the Surviving Corporation shall be appointed as the officers of Parent by the new directors, who shall be Xxxxxxx Xxxxx, CEO and Secretary; and Xxxx Xxxxxxxxxx, CFONew Directors.

Directors of the Parent. The directors of Parent immediately prior to the Effective Time shall appoint Xxxxxx X. Xxxxxxx Xxxxx, Xxxx Xxxxxxxxxx and R. Xxxxx Xxxxxxx Xxxxxxxx to Parent’s board of directors, and thereafter thereafter, with the exception of Xxxxx X. Xxxxxx, the current directors of Parent shall resign effective as of the Effective Time, and the officers of the Surviving Corporation shall be appointed by the present or new directors, who shall be Xxxxxxx XxxxxXxxxxx X. Xxxxxxx, CEO and SecretaryPresident; Xxxx X. Xxxxxxx, Vice President; and Xxxx XxxxxxxxxxR. Xxxxx Xxxxxxx, CFOSecretary/Treasurer.
