DIRECTV SYSTEM SUBSIDY. In addition, for each Eligible MMDS Subscriber who accepts a Consumer Offer, is provided a DIRECTV System that was not acquired through a Pegasus equipment buy-down program and becomes a Converted Subscriber, Pegasus will pay Nucentrix a DIRECTV System Subsidy in the amount of "***"" for each primary DIRECTV System ("Primary DIRECTV System") and "***" for each second DIRECTV receiver ("Second DIRECTV Receiver") (collectively, the "DIRECTV System Subsidy").

DIRECTV SYSTEM SUBSIDY. In addition, in connection with each Eligible MMDS Subscriber who accepts the Consumer Offer and becomes a Converted Subscriber, DIRECTV agrees to provide Nucentrix with a DIRECTV System subsidy in the amount equal to (a) the lowest wholesale price/cost of a DIRECTV System (Dual LNB) generally available as reasonably determined by DIRECTV, for a Single-Room Offer; or (b) the lowest wholesale price/cost of a DIRECTV System (Dual LNB) and an additional receiver which are generally available, as reasonably determined by DIRECTV, for a Two-Room Offer, less "***" (collectively, the "DIRECTV System Subsidy").

  • Utility Services The Owner represents that, to the best of its knowledge, all utility services required to construct and operate the Project (including, without limitation, public water, sewer and electricity) are currently available to the Property in the capacities required to operate the Project. No work need be performed by or on behalf of the Developer to make such utilities available to the Property for the construction or operation of the Project, except for the matters, if any, set forth on Exhibit "D".
