Disallowances. The Corporation reserves the right to disallow any amount claimed by the Contractor not in accordance with this Agreement. The Contractor will be notified, in writing, of any disallowances and shall be given the opportunity to resubmit any charges, with explanations, within thirty days of receipt of such notice.
Disallowances. Any payments made to Executive such as interest or entertainment expenses incurred by Executive, which shall be disallowed in whole or in part as a deductible expense by the Internal Revenue Service, shall be reimbursed by Executive to the Company to the full extent of such disallowance. In lieu of payment by Executive, subject to the determination of the Board, proportionate amounts may be withheld from Executive's future compensation payments until the amount owed to the Company has been recovered.
Disallowances. Severance allowances shall not be paid when the employee:
(a) is discharged for just cause, retires, or resigns.
(b) has his employment temporarily interrupted because of a strike or picketing on Company premises, an Act of God, a national war emergency, revocation of the carrier's operating certificate(s), or grounding of the carrier's aircraft by governmental order.
(c) elects to exercise any seniority, bumping, or transfer rights afforded him under this Agreement to remain in active service with the carrier or accepts other employment offered by the carrier.
Disallowances. ACBHD may withhold all funds owed to Contractor based on disallowances and/or penalties until settlement is satisfied in full. If applicable, Contractor shall refund any disallowances and/or penalties resulting from the Medi-Cal Utilization Review Process within 60 days of notice, unless otherwise agreed upon by ACBHD. County will indemnify Contractor as set forth in the general provisions of the Contract between the Parties should the disallowance and/or penalties be the result of: a) County’s negligence or intentional acts or omissions; or b) Contractor’s compliance with the written directions, guidelines, policies or instructions of the County. Any disallowance and/or penalties where County is not required to, or does not, indemnify Contractor shall be the sole responsibility of Contractor. This includes any and all State disallowances and/or penalties.
Disallowances. DOHMH shall review the expense reports and supporting documentation as required, and shall disallow any expenses that were not rendered, documented and/or authorized in accordance with the terms of this Agreement, or for failure to deliver any required services or work product. However, DOHMH shall not unreasonably disallow expenses submitted pursuant to this Agreement.
Disallowances. In the event Contractor claims or receives payment from County for a service, reimbursement for which is later disallowed by County or the State of California or the United States Government, then Contractor shall promptly refund the disallowed amount to County upon request, or, at its option, County may offset the amount disallowed from any payment due or become due to Contractor under this Agreement or any other agreement.
Disallowances. If a reimbursement is disallowed after it was paid to the DISTRICT, PCG shall return to the DISTRICT any fees that were paid to PCG by the DISTRICT under Section III.D with respect to the disallowed reimbursement in accordance with the following terms:
A. For disallowances on claims attributable to errors or omissions caused by PCG, PCG will work with the DISTRICT and take all reasonable actions to challenge the disallowance.
B. PCG shall not be obligated to reimburse the DISTRICT for a disallowance if the DISTRICT, OSDE, or OHCA does not allow PCG to fully participate in the review and audit process.
C. PCG shall not be obligated to reimburse the DISTRICT for any disallowance resulting from the errors, acts, or omissions of the DISTRICT. PCG’s billing on behalf of the DISTRICT is in good faith and the DISTRICT warrants that service data entered into OK EDPlan™ and supporting claiming data furnished is accurate and complete and that the DISTRICT has appropriate records to substantiate claims submitted on their behalf by PCG.
D. Subject to the terms provided in this Section, in the event claims are disallowed as a result of PCG’s errors or omissions and federal funds are returned and all avenues for contesting the disallowance have been exhausted, PCG shall refund to DISTRICT an amount equal to the amount PCG billed and was paid on the amount disallowed. For the auditing process on claims attributable to errors or omissions caused by PCG, PCG shall bear the cost of such defense.

Disallowances. The STATE shall recover from the COUNTY any state or federal fiscal disallowances or sanctions attributable to actions of the COUNTY, Cooperating Agencies, or the COUNTY’s subcontractors. If federal fiscal disallowances or sanctions are based on either a statewide sample or a categorical disallowance imposed across the State, the STATE shall recover the proportional share of the disallowance or sanction from the COUNTY.
