Common use of Disapproval by Owner Clause in Contracts

Disapproval by Owner. If Owner disapproves of the Drawings or Specifications, Owner shall provide Contractor with a written statement of the reasons for such disapproval within the time period required for Owner’s response for disapproval of Drawings and Specifications set forth in Section 3.3C.3. Contractor shall provide Owner with revised and corrected Drawings and Specifications as soon as possible thereafter and Owner’s rights with respect to issuing comments, proposed changes or approvals or disapprovals of such revised and corrected Drawings or Specifications are governed by the procedures specified above in this Section 3.3C; provided that Contractor shall not be entitled to any extensions of time to the Key Dates, an adjustment to the Contract Price or any adjustment to any other Changed Criteria; provided further, however, to the extent Owner’s disapproval of the Drawings or Specifications is due to one or more changes required by Owner to any such Drawings or Specifications that have an impact on the Work, and such disapproval is not the result of such Drawings’ or Specifications’ non-compliance with the requirements of this Agreement, Contractor shall be entitled to a Change Order to the extent such Owner-required change adversely affects the Key Dates or the Contract Price and Contractor complies with and meets the requirements of ARTICLE 6.

Contractor shall provide Owner with revised and corrected Drawings and Specifications as soon as possible thereafter and Owner’s rights with respect to issuing comments, proposed changes or changes, approvals or disapprovals of such revised and corrected Drawings or Specifications are governed by the procedures specified above in this Section 3.3C; provided that Contractor shall not be entitled to any extensions of time to the Key Dates, an adjustment to the Contract Price or any adjustment to any other Changed Criteria; provided further, howeverunless: (a) such disapproval is exercised unreasonably (e.g., to the extent Owner’s disapproval of the Drawings or Specifications is due to one or more material changes required by Owner to any such Drawings or Specifications that have an impact on the Work, and such disapproval is not the result of noncompliance of such Drawings’ Drawings or Specifications’ non-compliance Specifications with the requirements of this Agreement), Contractor shall be entitled (b) such disapproval and associated changes adversely impact Contractor’s costs or ability to a Change Order to perform the extent such Owner-required change adversely affects Work in accordance with the Key Dates or the Contract Price Monthly Updated Project Schedule, and (c) Contractor complies with and meets the requirements of ARTICLE under Article 6.
