Common use of Disbursements and Other Actions by Escrow Agent Clause in Contracts

Disbursements and Other Actions by Escrow Agent. Upon the Closing, Escrow Agent shall promptly undertake all of the following in the following order and manner: (a) Cause the Assignment of Ground Lease and Grant Deed and any other documents which the parties hereto may mutually direct to be recorded in the Official Records of San Francisco County, California in the order directed by the parties; (b) Disburse to Seller from funds deposited by Purchaser with Escrow Agent towards payment of all items (including, without limitation, the Purchase Price) chargeable to the account of Purchaser; (c) Deliver to Seller a fully executed original of the instruments described in clauses (c), (d), (e), (j), (k) and (l) of Section 4.2 above and clauses (c), (d) and (e) of Section 4.3 above and conformed copies of the Assignment of Ground Lease and Grant Deed; (d) Deliver to Purchaser a fully executed original of the instruments described in clauses (c), (d), (e), (f), (h), (j), (k) and (l) of Section 4.2 above and conformed copies of the Assignment of Ground Lease and Grant Deed; (e) Direct the Title Company to issue the Title Policy to Purchaser; and (f) File the Designation Agreement.

Upon the Closing, Escrow Agent shall promptly undertake all of the following in the following order and manner: (a) Cause the Assignment of Ground Lease and Grant Deed and any other documents which the parties hereto may mutually direct to be recorded in the Official Real Property Records of San Francisco Xxxxxx County, California in the order directed by the partiesTexas; (b) Disburse to Seller from funds deposited by Purchaser with Escrow Agent towards payment of all items (including, without limitation, the Purchase Price) chargeable to the account of Purchaser; (c) Deliver to Seller a fully executed original of the instruments described in clauses (c), (d), (ei), (j), (kj),(k) and (l) of Section SECTION 4.2 above and clauses (c), (d) and (ef) of Section SECTION 4.3 above and a conformed copies copy of the recorded Deed and Assignment of Ground Lease and Grant DeedUse Agreement; (d) Deliver to Purchaser a fully executed original of the instruments described in clauses (b), (c), (d), (e), (fg), (hi), (j), ) (k) and (l) of Section SECTION 4.2 above and a conformed copies copy of the recorded Deed and Assignment of Ground Lease and Grant DeedUse Agreement; (e) Direct the Title Company to issue the Title Policy to Purchaser; and and (f) File the Designation Agreement.

Upon the Closing, Escrow Agent shall promptly undertake all of the following in the following order and mannerfollowing, same to be deemed to have been completed simultaneously: (a) Cause the Assignment of Ground Lease and Grant Deed and any other documents which the parties hereto may mutually direct to be recorded in the Official Records of San Francisco County, California in the order directed by the parties; (b) Disburse to Seller from funds deposited by Purchaser with Escrow Agent towards payment of all items (including, without limitation, the Purchase Price) chargeable to the account of Purchaser; (c) Deliver to Seller a fully executed original of the instruments described in clauses (c), (d), (e), (j), (k) and (l) of Section 4.2 above and clauses (c), (d) and (e) of Section 4.3 above and a conformed copies copy of the Assignment of Ground Lease and Grant Deed; (d) Deliver to Purchaser a fully executed original of the instruments described in clauses (b), (c), (d), (e), (f), (g), (h), (i), (j), (k) ), (l), and (ln) of Section 4.2 above and a conformed copies copy of the Assignment of Ground Lease and Grant Deed; (e) Direct the Title Company to issue the Title Policy to Purchaser; and (f) File the Designation Agreement.
