Common use of Discharge of Duties of Managing GP and Liquidation GP Clause in Contracts

Discharge of Duties of Managing GP and Liquidation GP. Each of the Managing GP and the Liquidation GP agrees to exercise its powers and discharge its duties under this Agreement honestly, in good faith and in the best interests of the Partnership and in connection therewith shall exercise the standard and degree of care, diligence and skill that a reasonably prudent Person would exercise in comparable circumstances.
