Common use of Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances Clause in Contracts

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors’ obligations hereunder shall remain in full force and effect until all of the payment Obligations shall have been paid in full and all of the Commitments shall have terminated. If at any time any payment made under this Agreement or any other Financing Document is rescinded or must otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person or otherwise, then the Guarantors’ obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

Discharge Only upon Payment in Full; Reinstatement in Certain Circumstances. The Guarantors’ obligations of Borrowers and Guarantor hereunder shall remain in full force and effect until all of the payment Obligations shall have been paid and performed in full and all of the Commitments shall have terminatedfull. If at any time any payment made under this Agreement on or any other Financing Document in respect of the Obligations is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person Borrower, Guarantor or otherwise, then the Guarantors’ obligations of a Borrower or Guarantor hereunder with respect to such payment shall be reinstated at such time as though such payment had has been due but not made at such time.

The Guarantors’ Guarantor’s obligations hereunder shall remain in full force and effect until all of the payment Obligations shall have been paid in full full, all Commitments have been terminated and all Letters of the Commitments shall Credit have terminatedeither expired, been repaid in full or been cash collateralized. If at any time any payment made under this Agreement or of any other Financing Document Obligation is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Borrower or otherwise, then the Guarantors’ Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ obligations hereunder Guaranteed Obligations shall remain in full force and effect until all of Borrower’s obligations under the payment Obligations Financing Documents shall have been paid or otherwise performed in full and all of the Commitments shall have terminated. If at any time any payment made under this Agreement or any other Financing Document is rescinded or must otherwise be restored or returned upon the insolvency, bankruptcy bankruptcy, reorganization or reorganization similar event of a Credit any Loan Party or any other Person or otherwise, then the Guarantors’ obligations hereunder Guaranteed Obligations with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Guarantor's obligations hereunder constitute a guarantee of payment and not of collection merely and shall remain in full force and effect until all of the payment Guaranteed Obligations shall have been paid in full in accordance with the terms hereof and all of the Commitments shall have terminatedAgreement. If at any time any payment made under this Agreement or of any other Financing Document of the Guaranteed Obligations is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Counterparty or otherwise, then the Guarantors’ Guarantor's obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had not been due but not made at such timemade.

The Guarantors’ Each of the Guarantor’s obligations hereunder shall remain in full force and effect until all of the payment Guaranteed Obligations shall have been indefeasibly paid in full and all of the Commitments under the Credit Agreement shall have terminatedterminated or expired. If at any time any payment made under this Agreement or of any other Financing Document amount of the Guaranteed Obligations is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Principal or otherwise, then each of the Guarantors’ Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Guarantor's obligations hereunder shall remain in full force and effect until all of the payment Guaranteed Obligations shall have been paid in full and all of the Commitments shall have terminatedfull. If at any time any payment made under this Agreement or of any other Financing Document of the Guaranteed Obligations is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Issuers or otherwise, then the Guarantors’ Guarantor's obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ obligations of the Guarantors hereunder shall remain in full force and effect until all of the payment Obligations and performance obligations of the Borrower under the Credit Documents shall have been paid or otherwise performed in full and all of the Commitments shall have terminatedfull. If at any time any payment made under this Agreement or any other Financing Credit Document is rescinded or must otherwise be restored or returned upon the insolvency, bankruptcy bankruptcy, reorganization or reorganization similar event of a Credit Party the Borrower, the Guarantors or any other Person or otherwise, then the Guarantors’ obligations of the Guarantors hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Subject to Section 3, the Guarantor’s obligations hereunder shall remain in full force and effect until all of the payment Guaranteed Obligations shall have been paid in full and all of the Commitments shall have terminatedfull. If at any time any payment made under this Agreement or of any other Financing Document Guaranteed Obligation is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Borrower or otherwise, then the Guarantors’ Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Guarantor’s obligations hereunder shall remain in full force and effect until all of the payment Obligations shall have been paid in full full, all facility availability has been terminated and all Letters of the Commitments shall Credit have terminatedeither expired, been repaid in full or been cash collateralized. If at any time any payment made under this Agreement or of any other Financing Document Obligation is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Borrower or otherwise, then the Guarantors’ Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Guarantor’s obligations hereunder shall remain in full force and effect until all of the payment Guaranteed Obligations shall have been paid in full and all or released pursuant to Section 4.15 of the Commitments shall have terminatedIndenture. If at any time any payment made under this Agreement or of any other Financing Document of the Guaranteed Obligations is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of a Credit Party or any other Person the Issuers or otherwise, then the Guarantors’ Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Each Guarantor’s obligations hereunder shall remain in full force and effect until all of Payment in Full, upon which the payment Obligations guarantees made hereunder shall have been paid in full and all of the Commitments shall have terminatedautomatically terminate. If at any time any payment made under this Agreement or of any other Financing Document Obligation is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy or reorganization of any Borrower or otherwise (including pursuant to any settlement entered into by a Credit Guaranteed Party or any other Person or otherwisein its discretion), then the Guarantors’ each Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.

The Guarantors’ Guarantor’s obligations hereunder shall remain in full force and effect until all payments of the payment Obligations shall have been principal and any accrued interest are paid in full and all of pursuant to the Commitments shall have terminatedLoan Agreement (the “Release Conditions”). If at any time any payment made under this Agreement or any other Financing Document of a Secured Obligation is rescinded or must be otherwise be restored or returned upon the insolvency, bankruptcy insolvency or reorganization receivership of a Credit Party or any other Person the Obligor or otherwise, then the Guarantors’ Guarantor’s obligations hereunder with respect to such payment shall be reinstated at such time as though such payment had been due but not made at such time.
