Common use of Disclaimer of Liability of Officers, Trustees and Beneficiaries Clause in Contracts

Disclaimer of Liability of Officers, Trustees and Beneficiaries. A copy of the Declaration of Trust of the Issuer is on file with the Secretary of the Commonwealth of Massachusetts, and notice hereby is given that this Agreement is executed on behalf of the Issuer by an officer of the Issuer in his or her capacity as an officer of the Issuer and not individually and that the obligations under or arising out of this Agreement are not binding upon any of the Trustees, officers or shareholders individually but are binding only upon the assets and properties of the Issuer. All persons extending credit to, contracting with or having a claim against the Issuer must look solely to the Issuer’s assets and property for the enforcement of any claims against the Issuer as none of the Issuer’s officers, agents or shareholders, whether past, present or future, assume any personal liability for obligations entered on behalf of the Issuer.
