Common use of Disclaimer of Reliance Clause in Contracts

Disclaimer of Reliance. Notwithstanding anything contained in this Agreement to the contrary, Verano acknowledges and agrees that none of any Company, any Company Subsidiary or any other Person has made, or is making, and Verano expressly disclaims reliance upon, any representations, warranties or statements or information relating to any Company or any Company Subsidiary, whether express or implied (including any implied representation or warranty as to the accuracy or completeness of any information regarding a Company or any Company Subsidiary furnished or made available to Verano or any of its Representatives), other than such Company’s Contractual Representations. Notwithstanding the foregoing and without limiting the generality of the foregoing, Verano acknowledges that, other than any such Contractual Representations by such Company, no representations or warranties or statements are made, will be made or deemed made, with respect to any projections, estimates, budgets of future revenues, future results of operations, future cash flows, or future financial condition (or any component of any of the foregoing) of any Company or any Company Subsidiary, including any information made available in the electronic data room maintained by the Companies for purposes of the transactions contemplated by this Agreement, marketing materials, consulting reports or materials, confidential information memoranda, management presentations, functional “break-out” discussions, responses to questions submitted to a Company, or in any other form in connection with the transactions contemplated by this Agreement, including the Financing.
