Common use of Disclaimer of Representations by Xxxxxxx Parties Clause in Contracts

Disclaimer of Representations by Xxxxxxx Parties. Owner hereby acknowledges and agrees that no express or implied representation or warranty is or has been made by the Xxxxxxx Parties, the Marketing Xxxxxxx Party or their affiliates, or any of them, concerning or relating to the price to be paid for Owner’s Residue Gas from the Xxxxx. Further, Owner hereby acknowledges and agrees that (i) it has not relied upon any statements, representations or warranties (whether written or oral) made by the Xxxxxxx Parties, the Marketing Xxxxxxx Party or their affiliates, or any of them, when entering into this Agreement, (ii) it has entered into this Agreement based upon its own independent business judgment and its own experience in energy markets and the energy industry, and (iii) this Agreement was and is a result of arm’s length negotiations between the Xxxxxxx Parties and Owner.
