Disclosure and Duty of Inquiry. No representations or warranties by Buyer or EXTEL in this Agreement and no statement or information contained in the schedules hereto or any certificate furnished or to be furnished to Seller or AUGI hereunder contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact necessary, in light of the circumstances under which it was made, in order to make the statements herein or therein not misleading.
