Common use of Disclosure and Duty of Inquiry Clause in Contracts

Disclosure and Duty of Inquiry. No representation or warranty by the Seller or AUGI in this Agreement and no statement or information contained in the schedules hereto or any certificate furnished or to be furnished to the Buyer hereunder contains or will contain any untrue statement of a material fact or omits or will omit to state any material fact necessary, in light of the circumstances under which it was made, in order to make the statements herein or therein not misleading. The Buyer is not nor will it be required to undertake any independent investigation to determine the truth, accuracy and completeness of the representations and warranties made by the Seller and AUGI pursuant to this Article 4.
