Disclosure Compliance. Authorized Users may not re-disclose Patient Data accessed through the WyIR to other persons except for the purposes for which the Patient Data was accessed, or as required or permitted by law. Uses and disclosures shall comply with all WDH and Immunization Unit policies and the Organization or Authorized User internal policies, as applicable.

Disclosure Compliance. The parties agree that disclosure of this Agreement and its terms may be necessary for compliance with applicable securities laws of the United States, regulations of the United States Securities and Exchange Commission, and such other laws as may be applicable to the Company and Executive, and the reporting and disclosures necessary for these purposes is expressly consented to by both parties. Executive confirms that he owns stock in the Company and agrees that he shall be responsible for filing any reports related to transactions Executive engages in that are required by applicable regulations or laws.

Disclosure Compliance. The Offering Circular complies in all material respects with the requirements of the FDIC Statement of Policy Regarding the Use of Offering Circulars in Connection with Public Distribution of Company Securities (61 Fed. Reg. 46808, September 5, 1996; the “FDIC Policy Statement”) and all other applicable laws, regulations and rules thereunder.

Disclosure Compliance. Except as disclosed in the Official Statement and based on a review of its previous undertakings, the City has not failed to comply with any continuing disclosure undertaking previously entered into pursuant to the provisions of the Rule.

Disclosure Compliance. Executive and the Company shall comply with all of their respective reporting and disclosure obligations arising in connection with the transactions contemplated by this Agreement, including without limitation the timely filing of SEC Form 4 and the disclosures required by Items 404 and 703 of Regulation S-K, 17 CFR §§ 229.404 and 229.703, as and when applicable.

Disclosure Compliance. The Authority has no prior undertakings pursuant to the Rule.
