Disclosure; No Misstatement. No statement (including the representations, warranties and covenants) by the Company and the Shareholders contained in this Agreement, the Company Disclosure Schedule, the other agreements, documents and applications to be entered into or filed in connection herewith, the exhibits and schedules attached hereto and any document, written statement or certificate furnished to Buyer and its representatives by the Company and the Shareholders or their financial or legal advisors pursuant hereto or in connection with the transactions contemplated hereby, contains any untrue statement of a material fact or omits to state a material fact necessary in order to make the statements contained herein or therein not misleading. There is no fact known to the Company or any Shareholder that has specific application to the Company or the Business (other than general, economic or industry conditions) that may reasonably be expected to have a Material Adverse Effect on the Company, which has not been set forth in this Agreement or the Company Disclosure Schedule.
