Common use of Disclosure of Counterclaims on Receivables Clause in Contracts

Disclosure of Counterclaims on Receivables. If (i) any discount, credit or agreement to make a rebate or to otherwise reduce the amount owing on a Receivable exists or (ii) if, to the knowledge of the Debtor, any dispute, setoff, claim, counterclaim or defense exists or has been asserted or threatened with respect to a Receivable, the Debtor will disclose such fact to the Agent in writing in connection with the inspection by the Agent of any record of the Debtor relating to such Receivable and in connection with any invoice or report furnished by the Debtor to the Agent relating to such Receivable.

Disclosure of Counterclaims on Receivables. If (i) any discount, credit or agreement to make a rebate or to otherwise reduce the amount owing on a Receivable exists or (ii) if, to the knowledge of the DebtorBorrower, any dispute, setoff, claim, counterclaim or defense exists or has been asserted or threatened with respect to a Receivable, the Debtor Borrower will disclose such fact to the Agent in writing in connection with the inspection by the Agent of any record of the Debtor Borrower relating to such Receivable and in connection with any invoice or report furnished by the Debtor Borrower to the Agent relating to such Receivable.

If (i) any discount, credit or agreement to make a rebate or to otherwise reduce the amount owing on a Receivable exists (except as permitted by Section 4.2.1) or (ii) if, to the knowledge of the any Debtor, any material dispute, setoff, claim, counterclaim or defense exists or has been asserted or threatened with respect to a Receivable, the such Debtor will disclose such fact to the Administrative Agent in writing in connection with the inspection by the Administrative Agent of any record of the such Debtor relating to such Receivable and in connection with any invoice or report furnished by the such Debtor to the Administrative Agent relating to such Receivable.

Disclosure of Counterclaims on Receivables. If (i) any discount, credit or agreement to make a rebate or to otherwise reduce the amount owing on a Receivable exists other than in the ordinary course of business or (ii) if, to the knowledge of the DebtorBorrower, any dispute, setoff, claim, counterclaim or defense exists or has been asserted or threatened with respect to a ReceivableReceivable other than disputes, setoffs, claims, counterclaims or defenses arising in the ordinary course of business, the Debtor Borrower will disclose such fact to the Agent in writing in connection with the inspection by the Agent of any record of the Debtor Borrower relating to such Receivable and in connection with any invoice or report furnished by the Debtor Borrower to the Agent relating to such Receivable.

If (i) any discount, credit or agreement to make a rebate or to otherwise reduce the amount owing on a Receivable exists or (ii) if, to the knowledge of the DebtorTerm Borrower, any dispute, setoff, claim, counterclaim or defense exists or has been asserted or threatened with respect to a Receivable, the Debtor Term Borrower will disclose such fact to the Agent in writing in connection with the inspection by the Agent of any record of the Debtor Term Borrower relating to such Receivable and in connection with any invoice or report furnished by the Debtor Term Borrower to the Agent relating to such Receivable.
