Disclosure of Misstatements and Omissions. The Investor's advisors or representatives shall make complete disclosure to the Company of any events or circumstances discovered by such advisors or representatives in the course of their due diligence upon which such advisors or representatives form the opinion that the Registration Statement contains an untrue statement of a material fact or omits a material fact required to be stated in the Registration Statement or necessary to make the statements contained therein, in the light of the circumstances in which they were made, not misleading.
