Common use of Disclosure of Sales Clause in Contracts

Disclosure of Sales. The Company will disclose in its quarterly reports on Form 10-Q, in its annual report on Form 10-K and/or in a Current Report on Form 8-K, the number of Placement Securities sold through JonesTrading pursuant to this Agreement and the net proceeds received by the Company with respect to such sales of Preferred Stock pursuant to this Agreement, together with any other information that the Company reasonably believes is required to comply with the Securities Act and Exchange Act.

Disclosure of Sales. The Company will disclose in its quarterly reports on Form 10-Q, in its annual report on Form 10-K and/or in on a Current Report current report on Form 8-K, K (i) the number of Placement Securities sold through JonesTrading pursuant Barclays, (ii) the Net Proceeds to this Agreement and the net proceeds received by the Company with respect to such sales Placement Securities, (iii) the number of Preferred Stock Securities sold through the Alternative Manager pursuant to this Agreement, together with any other information that the Alternative Equity Distribution Agreement and (iv) the proceeds to be delivered to the Company reasonably believes is required to comply with against receipt of such Securities sold through the Securities Act and Exchange ActAlternative Manager.

The Company will disclose in its quarterly reports on Form 10-Q, in its annual report on Form 10-K and/or in a Current Report on Form 8-K, the number of Placement Securities sold through JonesTrading SunTrust and the Alternative Agents pursuant to this Agreement and the Alternative Distribution Agreements and the net proceeds received by the Company with respect to such sales of Preferred Common Stock pursuant to this AgreementAgreement and the Alternative Distribution Agreements, together with any other information that the Company reasonably believes is required to comply with the Securities Act and Exchange Act.
