Disclosure Restriction. Notwithstanding the foregoing, in no event will Licensee disclose the structure of any Proprietary Product or Product, whether or not a Selection Notice is delivered by Licensee with respect to such Proprietary Product, without the prior written consent of Licensor. Any such disclosure without the prior written consent of Licensor shall be constitute a material breach of this Agreement that is not capable of being cured.
1.13 Section 11.10 of the License Agreement shall be amended and restated in its entirety as follows:
Disclosure Restriction. We shall not disclose Personal Information in Content or Smart Data except for the Business Purposes as set out in this CCPA Addendum, the MSA, or otherwise as instructed by you. Notwithstanding the foregoing sentence, you acknowledge that in using the Services, Personal Information in Content may be shared by you, your Group and Users with Recipients.
Disclosure Restriction. Benitec and 4D Molecular may only disclose the other’s Confidential Information to (i) their officers, employees, and agents and (ii) those consultants working directly under this Agreement, all of the foregoing with a reasonable need to know the Confidential Information for purposes of performing its obligations or exercising its rights under this Agreement.
