Common use of Disclosure to Related Parties Clause in Contracts

Disclosure to Related Parties. Each Party may disclose Confidential Information to its Related Parties, but only where that Party's Related Parties have agreed in writing to comply with that Party’s confidentiality obligations under this agreement. The Parties agree that they will be wholly responsible for all acts and omissions of their Related Parties concerning any Confidential Information disclosed to them.

Disclosure to Related Parties. Each Party may disclose Confidential Information to its Related Parties, but only where that Party's if the Related Parties have Party to whom disclosure is made has agreed in writing to comply with adhere to that Party’s confidentiality obligations under this agreementclause 10. Each Either Party in its capacity as a Receiving Party may disclose the Confidential Information of the Disclosing Party to any of its Related PartiesAffiliates, but only where directors, officers, employees, consultants, advisors and agents as such Receiving Party deems such to be in good faith reasonably required in connection with the exercise of the rights and licenses granted under this Agreement; provided, however, that Party's Related Parties have agreed in writing to comply with any recipient of Confidential Information is bound by covenants of confidentiality that are substantially as protective of the Disclosing Party’s confidentiality obligations under this agreement. The rights as those agreed to by the Parties agree that they will be wholly responsible for all acts and omissions of their Related Parties concerning any Confidential Information disclosed to themhereunder.
