Common use of Disclosure & use Clause in Contracts

Disclosure & use. (a) The parties acknowledge that, in the course of performing this agreement, one party (Discloser) may disclose Confidential Information to the other (Recipient). (b) Subject to the express provisions of this agreement, a Recipient must not: ● disclose any of Discloser’s Confidential Information to any person; or ● use any of Discloser’s Confidential Information for any purpose other than exercising its rights or performing its obligations under this agreement, without Discloser’s express written authorisation. (c) Each Recipient may disclose Discloser’s Confidential Information to its officers, directors, employees, contractors and agents as, and only as reasonably necessary for the purposes of Recipient’s exercising its rights or performing its obligations under this agreement.
