Common use of Discontinuance of Business Clause in Contracts

Discontinuance of Business. Upon termination of this Agreement because of discontinuation of COMPANY's business pursuant to Section 4.1.3, COMPANY shall have no further obligation to EMPLOYEE under the Agreement except to distribute to EMPLOYEE any unpaid compensation and reimbursable expenses, less applicable withholdings, owed to EMPLOYEE prior to the date of termination of this Agreement.

Discontinuance of Business. Upon termination of this Agreement because of discontinuation of COMPANY's ’s business pursuant to Section 4.1.3, COMPANY shall have no further obligation to EMPLOYEE under the Agreement except to distribute to EMPLOYEE any unpaid compensation and reimbursable expenses, less applicable withholdings, owed to EMPLOYEE prior to the date of termination of this Agreement.

Upon termination of this Agreement because of discontinuation of COMPANYCompany's business pursuant to Section 4.1.33.1.3, COMPANY Company shall have no further obligation to EMPLOYEE Employee under the this Agreement or otherwise except to distribute pay to EMPLOYEE Employee (a) any unpaid base compensation (less applicable withholdings) and (b) reimbursement of any unpaid reimbursable expenses, less applicable withholdings, owed to EMPLOYEE Employee prior to the date of termination of this Agreement.

Upon termination of this Agreement because of discontinuation of COMPANY's Company’s business pursuant to Section 4.1.33.1.3, COMPANY Company shall have no further obligation to EMPLOYEE Employee under the this Agreement or otherwise except to distribute pay to EMPLOYEE Employee (a) any unpaid base compensation (less applicable withholdings) and (b) reimbursement of any unpaid reimbursable expenses, less applicable withholdings, owed to EMPLOYEE Employee prior to the date of termination of this Agreement.
