Common use of Discoveries and Works Clause in Contracts

Discoveries and Works. All discoveries and works made or conceived by --------------------- the Executive during his employment by Ascent pursuant to this Agreement, jointly or with others, that relate to Ascent's activities ("Discoveries and Works") shall be owned by Ascent. Discoveries and Works shall include, without limitation, literary, dramatic or other works, screenplays, stories, adaptations, scripts, treatments, formats, "bibles," scenarios, characters, titles of any kind and any rights therein, other works of authorship, inventions, computer programs (including documentation of such programs), technical improvements, processes and drawings. The Executive shall (i) promptly notify, make full disclosure to, and execute and deliver any documents reasonably requested by, Ascent to evidence or better assure title to such Discoveries and Works in Ascent, (ii) assist Ascent in obtaining or maintaining for itself at its own expense United States and foreign copyrights, trade secret protection or other protection of any and all such Discoveries and Works, and (iii) promptly execute, whether during his employment by Ascent or thereafter, all applications or other endorsements necessary or appropriate to maintain copyright and other rights for Ascent and to protect their title thereto. Any Discoveries and Works which, within sixty days after the termination of the Executive's employment by Ascent, are made, disclosed, reduced to a tangible or written form or description, or are reduced to practice by the Executive and which pertain to work performed by the Executive while with Ascent and COMSAT, shall, as between the Executive and Ascent and COMSAT, be presumed to have been made during the Executive's employment by Ascent.

Any Discoveries and Works which, within sixty days after the termination of the Executive's employment by Ascent, are made, disclosed, reduced to a tangible or written form or description, or are reduced to practice by the Executive and which pertain to work performed by the Executive while with Ascent and Ascent, COMSAT, CEG and CVE shall, as between the Executive and Ascent and Ascent, COMSAT, CEG and CVE be presumed to have been made during the Executive's employment by Ascent, COMSAT, CEG and CVE.

All discoveries and works made or conceived by --------------------- the Executive during his employment by Ascent NEWCO pursuant to this Agreement, jointly or with others, that relate to AscentNEWCO's activities ("Discoveries and Works") shall be owned by AscentNEWCO, it being understood that the Discoveries and Works referred to in this paragraph are limited to those that are made, disclosed, reduced to tangible or written form or description, or are reduced to practice by the Executive in the course of his performing services for NEWCO. Discoveries and Works shall include, without limitation, literary, dramatic or other works, screenplays, stories, adaptations, scripts, treatments, formats, "bibles," scenarios, characters, titles of any kind and any rights therein, other works of authorship, inventions, computer programs (including documentation of such programs), technical improvements, processes and drawings. The Executive shall (i) promptly notify, make full disclosure to, and execute and deliver any documents reasonably requested by, Ascent NEWCO to evidence or better assure title to such Discoveries and Works in AscentNEWCO, (ii) assist Ascent NEWCO in obtaining or maintaining for itself at its own expense United States and foreign copyrights, trade secret protection or other protection of any and all such Discoveries and Works, and (iii) promptly execute, whether during his employment by Ascent NEWCO or thereafter, all applications or other endorsements necessary or appropriate to maintain copyright and other rights for Ascent NEWCO and to protect their title thereto. Any Discoveries and Works which, within sixty days after the termination of the Executive's employment by AscentNEWCO, are made, disclosed, reduced to a tangible or written form or description, or are reduced to practice by the Executive and which pertain to work performed by the Executive while with Ascent and COMSAT, NEWCO shall, as between the Executive and Ascent and COMSAT, NEWCO be presumed to have been made during the Executive's employment by AscentNEWCO.

The Executive Employee shall (i) promptly notify, notify and make full disclosure to, and execute and deliver any documents reasonably requested by, Ascent the Company to evidence or better assure title to such Discoveries discoveries and Works in Ascentworks by the Company, (ii) assist Ascent the Company in obtaining or maintaining for itself at its own expense United States and foreign patents, copyrights, trade secret protection or and other protection of any and all such Discoveries discoveries and Worksworks, and (iii) promptly execute, whether during his Employee’s employment by Ascent or thereafter, all applications or other endorsements necessary or appropriate to maintain copyright patents and other rights for Ascent the Company and to protect their its title thereto. Any Discoveries discoveries and Works works which, within sixty days six (6) months after the termination of the Executive's Employee’s employment by Ascenthereunder, are made, disclosed, reduced reduce to a tangible or written form or description, or are reduced to practice by the Executive Employee and which pertain to work performed by the Executive Employee while with Ascent with, and COMSAT, in Employee’s capacity as an Employee of the Company shall, as between the Executive Employee and Ascent and COMSAT, be the Company presumed to have been made during the Executive's Employee’s employment by Ascentthe Company.

Any Discoveries discoveries and Works works which, within sixty days six (6) months after the termination of the Executive's employment by Ascenthereunder, are made, disclosed, reduced reduce to a tangible or written form or description, or are reduced to practice by the Executive and which pertain to work performed by the Executive while with Ascent with, and COMSATin his/her capacity as an Executive of, the Company shall, as between the Executive and Ascent and COMSAT, be the Company presumed to have been made during the Executive's employment by Ascentthe Company.
