Common use of Disposal and Encumbrance of Property Clause in Contracts

Disposal and Encumbrance of Property. Except for the Lease and the Subordinate Loan, Borrower shall not, without the Required Lender's prior written consent, suffer, permit or enter into any agreement for any sale, lease, transfer, or in any way encumber or dispose of or grant or suffer any security or other assignment (collateral or otherwise) of or in all or any portion of the Project. Any consent given by Agent or deemed to have been given by Agent, or any waiver of default under this Section 7.12, shall not constitute a consent to, or waiver of any right, remedy or power of Agent under any subsequent default hereunder.

Except for the Lease and the Subordinate Loan, Borrower shall not, without the Required Lender's Administrative Agent’s prior written consentconsent(unless such consent is not required, as expressly provided in the Loan Documents), suffer, permit or enter into any agreement for any sale, lease, transfer, or in any way encumber or dispose of or grant or suffer any security or other assignment (collateral or otherwise) of or in all or any portion of the Project. Any consent given by Administrative Agent or deemed to have been given by Agent, or any waiver of default under this Section 7.127.10, shall not constitute a consent to, or waiver of any right, remedy or power of Administrative Agent under any subsequent default hereunder.
