Disposal of Gateway-Branded Products. With respect to the disposal of Gateway-branded Products, MPC agrees to comply with all applicable environmental laws. MPC accepts full responsibility for, and agrees to pay, any fees, charges, taxes, penalties, fines or other costs incurred as the result of the disposal of Gateway-branded Products (“Environmental Fees”) sold by MPC. If Gateway pays Environmental Fees for which MPC is in whole or in part responsible, then MPC shall pay Gateway for its share immediately, but in no case later than 30 days after written notice from Gateway. In circumstances in which there is a dispute whether MPC or Gateway is responsible for all or any portion of an Environmental Fee, the parties agree to negotiate a resolution of the dispute in good faith.
