Common use of Disposition Upon Termination Clause in Contracts

Disposition Upon Termination. Upon the termination of this Agreement for any reason whatsoever, or in the event that Malwarebytes reasonably determines that Reseller no longer requires access to the Confidential Information in order to perform its obligations, Reseller shall return to Malwarebytes, or shall destroy, as Malwarebytes shall specify, all copies of all the Confidential Information in Reseller's possession. Within five (5) calendar days thereafter, Reseller shall provide Malwarebytes with a certificate, executed by an officer of Reseller, confirming that all copies of all such Confidential Information have been returned to Malwarebytes or destroyed, as the case may be.
