Dispute, Claims and Litigation. 10.1 Except for the litigation search results and their brief description as set out in Schedule 4 of this Agreement, the Company is not engaged in any litigation, administrative, mediation or arbitration proceedings, as plaintiff or defendant; there are no non-compliance, investigation, inquiry or enforcement proceedings pending or threatened, either by or against the Company; and no circumstances exist which are likely to give rise to any litigation, administrative, mediation or arbitration proceedings.
