Disputes Concerning Change Orders. 19.9.1 Should the Parties fail to reach agreement on adjustments due to any Change Order, Canadian Natural shall have the right to establish such adjustments, including means and amount of compensation, and any adjustments to the Contract Schedule it considers appropriate to the circumstances acting reasonably, and to instruct Contractor to proceed with the modifications to the Scope of Work, the Contract Schedule or any part of the Work and Contractor agrees to so proceed.
19.9.2 During and after performance of the relevant Work related to any Change Order, Contractor shall submit proper documentation, including relevant time sheets, substantiating any increase or decrease in time spent on the modified Scope of Work or Contract Schedule.
19.9.3 Canadian Natural Representative and Contractor Representative shall each continue to use all reasonable commercial efforts in order to reach agreement in respect of the terms and conditions of any and all pending Change Orders.
19.9.4 If, as a result of agreement reached between the Parties, or the decision at the completion of any applicable binding dispute resolution proceedings, the compensation or adjustments to the Scope of Work, Contract Price, Contract Schedule or any part of the Work differ from those established by Canadian Natural provided for above, the relevant Change Order conditions as established by Canadian Natural shall be revised accordingly. In no event shall the performance of the Work be interrupted or slowed due to any dispute between the Parties concerning the adjustments contemplated hereunder.
19.9.5 Contractor acknowledges and agrees that upon the Parties agreeing and executing any Change Order, Contractor shall be deemed to have confirmed that all changes or modifications to the Contract Price, the Contract Schedule, the Scope of Work and related Contractor's Personnel, equipment and materials requirements have been fully taken into consideration and accounted for and that the circumstances on the basis on which a Change Order was initiated are independent of and not related to or in any manner linked to any other past, future or present circumstance or event and that the circumstances taken into account in effecting the Change Order shall not be considered in respect of any other Change Order nor for the purposes of any cumulative effect of any Change Orders.
