Common use of Dissenter and Appraisal Rights Clause in Contracts

Dissenter and Appraisal Rights. The Stockholder hereby irrevocably and unconditionally waives, and agrees to cause to be waived and to prevent the exercise of, any rights of appraisal, any dissenter’s rights and any similar rights relating to the First Merger, the Second Merger or any related transaction that the Stockholder may have by virtue of, or with respect to, the Shares.

The Stockholder hereby irrevocably and unconditionally waives, waives and agrees not to cause to be waived and to prevent the exercise of, any rights (including, without limitation, under Section 262 of appraisal, the DGCL and Chapter 13 of the CCC) to demand appraisal of or dissent to any dissenter’s rights and any similar rights relating of the Shares which may arise with respect to the First Merger, the Second Merger or any related transaction that the Stockholder may have by virtue of, or with respect to, the Shares.
